Terms of purchase and delivery applicable to FarmConsult
1. Validity
These terms of purchase and delivery apply unless the parties have deviated from them by written agreement.
2. Quantity
The delivered quantity may deviate from the agreed quantity by a maximum of +/- 10%. This applies within the total quantity as well as within the agreed grades/products
3. Sorting and reprocessing
All sorting and reprocessing is carried out in accordance with the European sorting rules applicable at any time, including Danish supplements.
Services, processing and packaging must be carried out in accordance with the description prepared by Farm Consult.
4. Delivery time
The delivery time stated in this contract is binding on the parties and cannot be extended or deviated from without separate written agreement.
5. Terms of purchase and delivery
All terms of purchase and delivery shall be interpreted in accordance with INCOTERMS
Farm Consult shall notify the Seller of the time of collection no later than the day before the agreed delivery date, at the same time the Seller shall notify the Buyer of the exact loading address. The Seller undertakes to load the truck when it
arrives. The loading time for loading a pallet must not exceed 2 hours.
When loading, the provisions mentioned in section 3 must be observed. If loading is done in contravention of these provisions, the Seller is liable to compensate Farm Consult for the loss that Farm Consult suffers in this regard.
If waiting time, overtime, etc. arises for Farm Consult due to circumstances caused by the Seller, the Seller is obliged to compensate the additional costs caused by the delay.
The goods are loaded onto a truck as instructed by Farm Consult. In connection with delivery,
the Seller shall issue a delivery note with a precise indication of the quantity, type, sorting, nature and
location on the load. The delivery note is issued for each truckload and sent by email to Farm Consult no later than 3 hours after loading.
Unless otherwise agreed in connection with INCOTERMS, the risk for the goods passes to Farm Consult upon delivery
6. Payment
If payment is not made on time, interest is payable calculated as the discount rate + 2%.
7. complaints
Any complaint about any defects or errors in the delivered lot must be invoked by Farm Consult immediately after Farm Consult has become aware of defects or errors. Complaints must be made in writing to the seller.
Complained goods will be available to the supplier at Farm Consult's customer max. 8 calendar days after submission of the complaint.
Any costs associated with travel, returns, destruction are shared between the seller and Farm Consult
8. Responsibility for needle loss
The Supplier is responsible for ensuring that the tree does not lose its needles until the end of December in the year of purchase.
If it has been agreed that the tree will be felled before November 15 in the year of purchase, a
different division of responsibility may be agreed between the Seller and Farm Consult. This must be agreed in writing.
9. Force Majeure
If circumstances exist at the time of delivery that prevent timely delivery and if these circumstances are beyond the Seller's control and do not concern circumstances that could reasonably be expected to have been taken into account or otherwise avoided at the time of the conclusion of the agreement or which the Seller could reasonably have overcome, the Seller is entitled to postpone the time of delivery - however for a maximum of 8 days.
If obstacles to delivery arise, the other party shall be notified in writing without undue delay.
10. Retention of title
The seller retains ownership of the goods sold until full payment has been made.
The seller also retains ownership of the goods sold even if the seller assigns its claim against Farm Consult to a third party.
11. Jurisdiction
The purchase is governed by the general rules of Danish law. All disputes shall be settled in accordance with the general rules of Danish law. The place of jurisdiction is Farm Consult's place of jurisdiction.
